Terms of Service

Draft. These terms have not yet been reviewed by an attorney. They are published so the subscription is not sold under terms written for a training course, and should be replaced with a reviewed version.

1. Who you are contracting with

SMPGuide is operated from San Lorenzo, California. “We”, “us” and “our” mean SMPGuide. “You” means the business or person who subscribes.

2. What the service is

A subscription to an all-in-one business platform — shared inbox, booking and calendar, automated follow-up and reminders, review requests, social scheduling, pipelines, payments, and an AI assistant that answers and books on your behalf — together with a guided setup session.

The platform is delivered on third-party infrastructure. Features may change, improve or be withdrawn as that infrastructure changes. We will give reasonable notice before removing anything you rely on.

3. Free trial

New subscriptions include 30 days free. We collect payment details at signup but do not charge them during the trial.

Cancel at any point before the trial ends and you are charged nothing. If you do not cancel, your first payment is taken on day 31 and the subscription continues until you cancel it.

The trial is one per business. [CONFIRM: is that the rule you want?]

4. Price and payment

Monthly: $197 per month. Annual: $1,970 per year. Prices are in US dollars and exclude any applicable taxes.

Payment is taken automatically on each renewal date using the details on file. If a payment fails we will try again and contact you; if it remains unpaid we may suspend the account. [CONFIRM: how many days before suspension?]

Usage-based costs such as phone calls, text messages, emails and AI usage may be charged in addition to the subscription. [CONFIRM: are you rebilling usage? If yes, this clause must state how it is calculated and where the customer can see it — an unexplained extra charge is the most common cause of a chargeback.]

We may change prices with at least 30 days’ written notice. A price change never applies to a period you have already paid for.

5. Cancelling

You can cancel at any time, effective at the end of the period you have paid for. There is no cancellation fee and no notice period.

Monthly subscriptions are not refunded for a part-used month, and annual subscriptions are not refunded for unused months, except where the law requires otherwise. [CONFIRM: this is the standard position — if you would rather pro-rate annual refunds, say so here, because what this page says is what you will be held to.]

6. Your data

Your contacts, conversations and business records are yours. We do not sell them, and we do not use them to market to your customers.

You can export your data at any time, including while cancelling. After cancellation we retain your account data for 30 days so you can recover it, then delete it. [CONFIRM: 30 days is a reasonable default — is it yours?]

We access your account only to provide support, fix faults, or where the law requires it.

7. How you may use it

You are responsible for everything sent from your account. You agree not to use it to:

  • send marketing messages to people who have not consented to receive them
  • ignore an opt-out, or make opting out difficult
  • send anything unlawful, deceptive, or harassing
  • share your login with people outside your business

Text and email marketing is regulated. Keeping valid consent for the people you contact is your responsibility, not ours. We may suspend an account that puts our sending infrastructure at risk.

8. The setup session

Your subscription includes a guided setup session in which we configure the platform around your business. [CONFIRM: how many sessions, and how long is support included for afterwards? Write the limit down here. An unbounded promise of help is the single most common source of disputes.]

9. No guarantee of results

We provide software and setup. We do not guarantee any particular number of leads, bookings, customers, reviews, search ranking, revenue or business outcome. Results depend on your market, your pricing, your service and your effort.

10. Availability

We aim to keep the service available but do not promise uninterrupted operation. Maintenance, third-party outages and events outside our control can interrupt it.

11. Liability

To the extent the law allows, our total liability for any claim is limited to the amount you paid us in the 12 months before the claim arose. We are not liable for lost profits or lost business. Nothing here limits liability that cannot lawfully be limited.

12. Changes to these terms

We may update these terms and will post the new version here with the date changed. If a change materially affects you, we will tell you before it takes effect. Continuing to use the service after that means you accept the change.

13. Governing law

These terms are governed by the laws of the State of California, and disputes belong to the courts of Alameda County, California. [CONFIRM with your attorney — whether to add an arbitration clause is a real decision with trade-offs, not a formality.]
